1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the ironoxproducts.com website, dealer portal, and related services (the "Services") provided by Iron Ox Products, Inc. ("Iron Ox," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility & Accounts

You must be at least 18 years old and authorized to act on behalf of any business you represent. When you register, you agree to provide accurate, current information and to keep your credentials secure. You are responsible for all activity under your account. Dealer accounts are subject to approval by Iron Ox and may be suspended or terminated for misuse.

3. Dealer Orders & Pricing

• Wholesale pricing shown in the dealer portal is confidential and intended for authorized dealers and their staff only.
• Orders submitted through the portal are offers to purchase and are not binding until accepted by Iron Ox.
• Prices, freight rates, lead times, and product availability may change without notice. We will confirm final pricing and delivery when your order is approved.
• Minimum Advertised Price (MAP) policies apply to advertised pricing and must be followed by dealers.

4. Shipping & Delivery

Delivery dates are estimates based on production schedules and carrier availability and are not guaranteed. Freight charges are calculated based on destination and load type. Title and risk of loss pass to the dealer upon delivery to the agreed ship-to location unless otherwise stated on the order confirmation.

5. Warranties

Iron Ox products are covered by the manufacturer's limited warranty applicable to each product. Warranty claims must be submitted through the portal and are subject to the terms of the applicable warranty. To the maximum extent permitted by law, all warranties beyond those expressly stated are disclaimed.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms.
• Share dealer pricing or portal access with unauthorized third parties.
• Attempt to access data, accounts, or systems you are not authorized to access.
• Interfere with the operation of the Services or introduce malware or harmful code.
• Resell, scrape, or misuse content or data from the Services.

7. Intellectual Property

All content on the Services — including logos, product designs, text, images, and software — is owned by or licensed to Iron Ox and protected by intellectual property laws. You may not copy, reproduce, or distribute our content without written permission, except as necessary to market and sell genuine Iron Ox products as an authorized dealer.

8. Electronic Signatures

Documents signed through our e-signature feature constitute legally binding electronic signatures under applicable law. You agree that an electronic signature has the same force and effect as a handwritten signature.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Iron Ox disclaims all implied warranties, including merchantability and fitness for a particular purpose. We do not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, Iron Ox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of or inability to use the Services. Our total liability for any claim arising from the Services is limited to the amount you paid for the product or order giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Iron Ox harmless from claims, damages, and expenses arising from your misuse of the Services, violation of these Terms, or breach of applicable law.

12. Termination

We may suspend or terminate access at any time, with or without cause or notice. Upon termination, all licenses and rights granted to you cease. Sections that by their nature should survive termination (including ownership, warranties, limitation of liability, and governing law) remain in effect.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of the state and federal courts located in El Paso County, Texas, for any dispute arising from the Services.

14. Changes to These Terms

We may revise these Terms at any time. The "Last updated" date reflects when they were last changed. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
